TERMS and CONDITIONS FOR LICENSING AND USING THE DULY KNOWTED TOOLS

The terms and conditions described below apply to your licensing of any of the Duly Knowted tools. In downloading or otherwise obtaining any of the tools, you acknowledge and agree to abide by these terms, and you acknowledge the purpose for which our products are intended.

In the event of a breach of any of the conditions set forth in this licensing agreement, the license is automatically terminated.

This user agreement governs your use of the Duly Knowted website, the process used to purchase tools from it, use of those tools, and supporting services we might provide you. It is important for both of us that you understand our contractual relationship.

The Duly Knowted website, its content, and tools downloaded from it are owned and operated by Duly Knowted LLC, a company incorporated in Las Vegas, Nevada, USA (referred to in this document as “we“, “our” or “us”).

The term “you” refers to the purchaser or the purchaser’s organization.

The terms “Contributor” and “Contributors” refer to the direct user(s) of the tools. The Contributor may or may not be the person purchasing the tool. This could be an individual in transition (transferring, promoting, retiring, taking leave, advancing through an annual review, etc.), or members of a group brought together to review and discuss questions posed in the tools.

Our responsibilities

Our products and services focus on workplace transitions: tools for business continuity and knowledge capture, designed for the use of employees (or members, volunteers, participants) as they individually or collectively progress through work anniversaries, activity reviews and debriefs, change roles, or leave organizations.

Our products consist of question sets, worksheets, checklists, and discussion/activity guides delivered in an Adobe Acrobat editable PDF format.

Our services consist of tool customization, product orientation, coaching and consulting sessions of varying duration. Services are delivered by telephone (free, or with fees paid online), web conference, or in person (based on contracts negotiated and delivered separately from our website).

The instructions and guidance provided in our tools and in our supporting materials is based on our professional experience in workplace transition scenarios. Information, question and response fields, and activity guidelines are provided “as is” or as customized with no warranties or indemnities as to their appropriateness or “precise fit” for your situation.

In no case shall the questions offered via the tools be taken as legal advice. Any concerns about using or incorporating any of the questions offered via the tools should be addressed with your organization’s legal team.

OWNERSHIP OF TOOLS

You agree that the products you have licensed are the sole property of Duly Knowted LLC. The tools and supporting materials (e.g., Information pages, Guidelines, Power Point slides) are protected by trademark and copyright laws.

Your license entitles you to use the tools on the “honor system” for a limited, approximate number of transition events (approximately 5-6 events)—within your organization. A “transition event” is considered a group meeting or series of meetings on a similar topic, a coaching session, a one-on-one or small group onboarding or pre-departure debrief. If your usage exceeds that number, please renew the license. This will also offer the advantage of licensing an updated tool.

IMPORTANT: Unless otherwise communicated, tools are not to be copied or shared with vendors, consultants, or contractors not directly involved with a specific transition event. We ask that independent consultants and coaches working with you set up their own accounts with us.

USING THE TOOLS

The Duly Knowted products are designed for:

Business Owners, HR Managers, Learning and Development Managers to distribute to employees or teams going through any one of several transition events. Examples of those events include:
Onboarding
Retirements
Promotions or transfers
Leaves of Absence
Annual reviews or coaching sessions
Project or program debriefs
Other departures
Team transition events
Organizational changes and strategic planning sessions

Coaches or Consultants working with individuals going through the types of workplace transitions listed above

The Duly Knowted knowledge capture products are not intended as a source of professional advice or performance assessment.

In licensing the tools, you are responsible for reviewing the questions included in the tools before sharing the tools with contributors. If specific confidentiality protocols should be followed, it is your responsibility to make this clear to the tool users.

PERMISSIONS

You agree that you are appropriately qualified and informed to use the tools.

You and the tool users/recipients can:

open the file without a password
enter notes and comments
copy comments into other documents
copy text from other documents into the response fields
print contents
Use of the tools as online “screen shares” between online partners or in small group meetings is encouraged and permitted.

Our tools are secured files. This means you are not able to copy the questions or edit or re-arrange the slides. (If that is something you would be interested in doing, contact us to discuss “pull outs,” or splitting the tool into shorter tools, or customization.

You MAY also:

Use the tools in the process of offboarding an employee, conducting a project or program debrief
Copy the tool for all participants in one (the same) transition event.
Use screen shots of individual screens.
Print tools that contain a contributor’s responses and comments. Depending on the tool, high resolution printing is enabled. Otherwise, low resolution printing is permitted.

You are ENCOURAGED TO:

Review Guidelines downloadable at no charge from the Duly Knowted website.
Provide supplemental instructions or requests to the contributor.
Distribute the completed tool with the contributor’s comments within your organization.
Request that recipients of distributed tools add their own comments.
Store completed tools on internal storage devices and hardware.

You MAY NOT:

Resell or license the products, directly or indirectly, in whole or in part.
Share or give copies of the tools to vendors, consultants, or organizations your organization does business with.
Use images or screen shots of the tools in articles, books, ebooks, social media posts of any kind without appropriate attribution to Audrey E. Bloom and/or Duly Knowted LLC. Limited images may be used on your organization internal website.

OTHER RESPONSIBILITIES

We do not accept or undertake any liability in connection with your use of the tools, or how collected information is distributed, shared, or applied—internally or externally.

Duly Knowted LLC is not responsible for the inclusion or distribution of company confidential information in responses to questions posed in the tools. Your organization’s own confidentiality protocols should be referenced in verbal and/or written instructions delivered to users.

In licensing our tools, you agree to indemnify Duly Knowted LLC with respect to any cost, liability, expense, claim or loss which we may suffer as a result of a breach of these terms and conditions by you or anyone for whom you are at law responsible.

Your responsibilities

Ultimately, the effectiveness of each process or tool depends on the participation of the tool’s users and the extent to which your organization chooses to distribute and apply the content created by the users.

Specifically, your organization and/or the purchaser is responsible for:

(1) selecting tools based on product descriptions on the website—or selected in consultation with Duly Knowted consultants

(2) how the tools are managed and used once licensed

(3) the protection of the information your business collects using the tools

(4) protection of Duly Knowted LLC copyright

We have made every effort to present materials that are free of grammatical and spelling errors. We reserve the right to amend any such errors and shall not be liable for any reliance placed by you on material with such errors.

USING THE TOOLS IN ONLINE MEETINGS

While we encourage using any of the Duly Knowted tools in online meetings and on a variety of virtual conferencing platforms, Duly Knowted LLC has no relationship to any vendor or provider of those platforms. Nor do we claim expertise in using their features. Our expectation is that you will incorporate the tool and question screens based on your meetings’ purposes and the participants engaged.

YOUR NON-PROFIT PARTNERS

When you license three or more tools, we are pleased to provide those tools to one non-profit organization of your choice.

Changes to These Terms

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these terms at any time without further notice. If we do this, we will post the changes to the terms on this page and will indicate at the top of this page the date of the revisions. Your continued use of the website or purchase of tools from the site after any such changes constitutes your acceptance of the new terms. If you do not accept such changes, you should no longer access or use our website, download free tools, or purchase tools from it.
